Terms of Use

1. Platform and Scope of Services

Spindigo operates a proprietary digital platform, including a mobile application and/or web-based interface ("Platform"), which is intended solely to enable registered users to digitally store, organise, manage, search, filter and retrieve professional or business-related contact information and details for internal reference purposes ("Connection").

The Platform functions strictly as a technology-enabled contact management utility. For the avoidance of doubt, the Platform:

• does not constitute a social networking service, marketplace or communication intermediary;
• does not facilitate interaction, messaging, solicitation or transactions between users;
• does not verify, validate, authenticate or endorse any information uploaded or stored by users;
• does not participate in, monitor or control any relationship or dealings between users or between users and third parties.

Access to the Platform does not create any obligation on Spindigo to provide networking outcomes, business opportunities or commercial results of any nature.

2. Eligibility and Account Registration

You represent and warrant that You are competent to contract under the Indian Contract Act, 1872 and are legally permitted to access and use the Platform under Applicable Laws.

When You access or use the Platform on behalf of any entity, You represent that You have the requisite authority to bind such entity to these Terms.

You agree to provide accurate, current and complete information at the time of account registration and to update such information as necessary. Spindigo shall not be responsible for any consequences arising from inaccurate or outdated information provided by You.

You are solely responsible for maintaining the confidentiality of Your login credentials and for all activities conducted through Your account, whether authorised or unauthorised.

3. Obligations of the User and Restrictions

You acknowledge and agree that Your access to and use of the Platform shall at all times be in compliance with these Terms and all Applicable Laws.

Without prejudice to the generality of the foregoing, You shall not:

• upload, store or process any information unless You have lawful authority and valid consent to do so;
• use the Platform for any unlawful, misleading, fraudulent or improper purpose;
• interfere with, disrupt or compromise the security, integrity or performance of the Platform;
• attempt to gain unauthorised access to any systems, servers or databases connected to the Platform;
• copy, scrape, extract, reverse engineer or otherwise commercially exploit the Platform or any part thereof;
• impersonate any individual or misrepresent Your identity or affiliation.

Any breach of this clause may result in immediate suspension or termination of access, without prejudice to Spindigo's rights and remedies available in law.

4. Third-Party Data and Connections

The Platform permits Users to upload, store and manage information relating to third parties as Connections.

You expressly acknowledge and agree that:

• all Connection data is uploaded at Your sole discretion and responsibility;
• You have obtained all necessary consents, permissions and authorisations from the concerned third parties;
• Spindigo does not determine the purpose or means of processing of such Connection data;
• Spindigo does not access, read, monitor, analyse or otherwise use Connection data.

Spindigo shall not be liable for any claims, disputes or liabilities arising out of the collection, storage, use or misuse of Connection data by You.

5. Intellectual Property Rights

All rights, title and interest in and to the Platform, including all software, source code, object code, databases, user interfaces, designs, logos, trademarks and proprietary technology (collectively, "Intellectual Property"), vest exclusively with Spindigo.

Subject to Your compliance with these Terms, Spindigo grants You a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for Your internal contact-management purposes.

Nothing contained in these Terms shall be construed as granting You any ownership rights or proprietary interest in Spindigo's Intellectual Property.

6. No Agency, Partnership or Intermediary Relationship

Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, fiduciary or employment relationship between You and Spindigo.

Spindigo acts solely as a technology service provider and does not act as an intermediary, broker, agent or representative of any User or third party.

7. Disclaimer

8. Limitation of Liability and Indemnity

Spindigo implements reasonable security practices and procedures, consistent with Applicable Laws, to protect information processed through the Platform, including administrative, technical and physical safeguards, as further described in the Privacy Policy. However, You acknowledge that no system or method of transmission over the internet is completely secure, and Spindigo does not guarantee absolute security.

To the maximum extent permitted under Applicable Laws, Spindigo, its partners, employees, consultants, affiliates and representatives shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages, including without limitation loss of profits, revenue, business, data or goodwill, arising out of or in connection with:

• Your access to or use of, or inability to access or use, the Platform;
• any information uploaded, stored or managed by You on the Platform, including Connections;
• any unauthorised access to or alteration of Your data or transmissions; or
• any acts or omissions of third parties.

Without prejudice to the foregoing, the aggregate liability of Spindigo for any claims arising out of or in connection with these Terms or the use of the Platform shall, in all circumstances, be limited to INR 100 (Rupees One Hundred only).

You agree to indemnify, defend and hold harmless Spindigo, its partners, employees, consultants and affiliates from and against any and all claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:

• Your access to or use of the Platform;
• Your breach or violation of these Terms, the Privacy Policy or any Applicable Laws;
• any claim by a third party (including any Connection) arising from the collection, storage or use of information by You through the Platform; or
• any infringement of Intellectual Property or other rights of Spindigo or any third party attributable to Your conduct.

These indemnity obligations shall survive termination of these Terms.

9. Termination and Suspension

Spindigo reserves the right, at its sole discretion and without prior notice, to suspend, restrict or terminate Your access to or use of the Platform, in whole or in part, if:

• You breach or violate any provision of these Terms;
• You fail to comply with or Your use of the Platform breaches or violates any Applicable Laws, regulation or governmental order;
• Spindigo reasonably believes that Your access to or use of the Platform may cause harm, disruption or legal exposure to Spindigo or any third party; or
• Your use of the Platform or conduct is fraudulent, abusive or otherwise unlawful.

Spindigo may modify, suspend or discontinue the Platform, or any part thereof, at any time, without liability.

Termination or suspension of access shall not affect any rights or remedies that have accrued to Spindigo under these Terms or Applicable Laws.

10. Governing Law and Jurisdiction

These Terms, including any dispute, claim or controversy arising out of or in connection with these Terms or the use of the Platform, shall be governed by and construed in accordance with the laws of India.

The parties shall endeavour to resolve disputes amicably through good faith discussions. Subject to the foregoing, You expressly agree to submit to the exclusive jurisdiction of the competent courts at Bengaluru, Karnataka, India.

11. Miscellaneous

Applicable Law(s)

It shall mean all statutes, enactments, acts of legislature or parliament, ordinances, rules, bye-laws, regulations, notifications, policies, directions, directives and orders that are in effect as of the date hereof, or as may be amended, modified, enacted or revoked from time to time, or any other governmental restrictions or similar forms of decision or determination by any government, statutory authority, tribunal, board or court having jurisdiction over the subject matter ("Applicable Laws").

Notices

All notices or communications under these Terms shall be in writing and shall be deemed duly given if sent by email or other official communication channels made available on the Platform.

Assignment

You shall not assign or transfer these Terms, in whole or in part, without the prior written consent of Spindigo. Spindigo may freely assign or transfer these Terms without restriction.

No Waiver

Any failure or delay by Spindigo in exercising any right shall not constitute a waiver of such right.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Force Majeure Event

Spindigo shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including acts of God, natural disasters, war, strikes, pandemics, governmental actions or failures of internet or hosting services.

Survival

Provisions which by their nature are intended to survive termination, including limitation of liability, indemnity and governing law, shall survive termination of these Terms.
